These Terms of Service ("Terms") govern your use of the Orbit Meet Transcriber Chrome Extension and its associated services (collectively, the "Service"), which is owned and operated by Loxley Orbit Co., Ltd. (a subsidiary of Loxley Public Company Limited, based in Thailand) ("Loxley Orbit," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Loxley Orbit Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. The Service: Orbit Meet Transcriber

2.1 Description: 

The Service is a proprietary Chrome Extension that provides real-time and post-meeting audio-to-text transcription specifically for meetings conducted on Google Meet, focusing on languages, such as Thai, not natively supported by Google Meet’s transcription features.

2.2 Integration: 

The Service is designed to integrate with Google Workspace accounts. You acknowledge that the Service operates within the constraints and permissions granted by the Google Chrome browser and Google Meet platform.

2.3 Availability: 

The Service may be subject to maintenance, downtime, or changes due to updates to Google Meet, Google Chrome, or other third-party services. Loxley Orbit does not guarantee uninterrupted operation of the Service.

3. License and Use Restrictions

3.1 Limited License: 

Loxley Orbit grants you a limited, non-exclusive, non-transferable, and revocable license to use the Orbit Meet Transcriber solely for your internal business or personal use, subject to these Terms.

3.2 Restrictions: 

You agree not to: 

- Reverse engineer, decompile, or disassemble the Extension. 

- Use the Service for any illegal or unauthorized purpose, including recording meetings without the explicit consent of all participants, where required by law (e.g., Thai Personal Data Protection Act - PDPA).

- Sell, resell, or distribute the Service to any third party.

- Interfere with or disrupt the integrity or performance of the Service.

4. Intellectual Property and Data Ownership

4.1 Ownership of Service: Loxley Orbit retains all right, title, and interest in and to the Service, including all underlying technology, intellectual property, and proprietary code. The name Loxley Orbit and Orbit Meet Transcriber are trademarks of Loxley Orbit Co., Ltd.

4.2 Ownership of Content (Transcripts): You retain all ownership rights in the data, text, and audio recordings generated during your use of the Service ("User Content" or "Transcripts").

• You are solely responsible for ensuring that your storage and use of Transcripts comply with all applicable laws, including data privacy and copyright regulations in Thailand and globally.

5. Disclaimers and Limitations of Liability

5.1 Accuracy Disclaimer: The Service uses AI (Artificial Intelligence) for transcription. While we strive for the highest accuracy, particularly for the Thai language, Loxley Orbit does not warrant or guarantee the accuracy, completeness, or reliability of any Transcripts. You acknowledge that errors, misinterpretations, and omissions may occur.

5.2 Third-Party Integration: The Service relies on the functionality of Google Meet and the Chrome Browser. Loxley Orbit is not responsible for any failures, security breaches, or data loss caused by changes or issues within these third-party platforms.

5.3 Limitation of Liability: To the maximum extent permitted by law, Loxley Orbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Service; (b) the accuracy or inaccuracy of the Transcripts; (c) any unauthorized access to or use of the Service.

6. Termination

Loxley Orbit reserves the right to suspend or terminate your access to the Service at its sole discretion, at any time and without notice, including for any breach of these Terms.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of The Kingdom of Thailand, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangkok, Thailand.
